Our Business Consulting Section provides advice to and drafts all necessary documents for business organizations, including corporations, general partnerships, limited partnerships, limited liability companies, limited liability partnerships and proprietorships. Our attorneys counsel clients in all phases of business formation and continuation, such as advice regarding the choice of entity, choice of jurisdiction, organizational documentation, state and federal filings, and general securities and tax issues bearing upon these types of entities. Additionally, we counsel organizations on their daily operations, such as management meetings, shareholder meetings, Board meetings, minutes, resolutions, loans and credit facilities, and dividends. We also counsel clients on issues pertaining to directors' liability and piercing the corporate veil.
